These terms govern quotes, orders and supply of goods by Yantai Orient Trading Co., Ltd. (“the Seller”). Placing an order constitutes acceptance of these terms unless otherwise agreed in writing.

Quotations

Quotations are valid for 30 days unless stated otherwise and are subject to material availability and confirmation of specifications. Prices are quoted in the agreed currency and Incoterm.

Orders & samples

Orders are confirmed once a signed order confirmation and deposit are received. Sample fees are refundable against the corresponding bulk order. Production begins only after sample approval.

Payment

Standard terms are 30% deposit with the balance due before shipment, unless otherwise agreed. Bank charges are the responsibility of the buyer unless stated otherwise.

Delivery

Delivery dates are estimates given in good faith. Risk and title pass in accordance with the agreed Incoterm. Delays caused by events beyond our reasonable control do not constitute a breach.

Quality & claims

Goods are produced to the approved sample. Any quality claim must be raised within 14 days of receipt with supporting evidence; verified defects will be replaced or credited at our discretion.

Intellectual property

Buyer-supplied designs remain the buyer’s property. We will not produce buyer designs for third parties without consent. Our own designs and technical documentation remain our property.

Governing law

These terms are governed by the laws of the People’s Republic of China. Disputes will be resolved through good-faith negotiation and, if necessary, arbitration in China.
